1. General Provisions
This Public Offer Agreement ("Agreement") defines the terms and conditions under which LIQD ("Contractor") provides digital design and development services to clients ("Client").
By submitting a project brief or making a payment, you accept the terms of this Agreement.
2. Services
LIQD provides the following services:
- Web design and UI/UX design
- Website and web application development
- CRM systems and automation solutions
- 3D visualization and motion design
- Branding and visual identity
- Consulting services
3. Project Process
Each project follows our standard process:
- Initial consultation and brief review
- Proposal and contract signing
- Advance payment (typically 50%)
- Design and development phases
- Client review and revisions
- Final delivery and payment
4. Payment Terms
Payment terms are specified in individual project proposals. Standard terms include:
- 50% advance payment before work begins
- 50% upon project completion
- Payment via bank transfer or online payment systems
- All prices are in USD unless otherwise specified
5. Revisions
Each project includes a specified number of revision rounds. Additional revisions may be subject to extra charges as outlined in the project proposal.
6. Intellectual Property
Upon full payment, all intellectual property rights for deliverables transfer to the Client, except for pre-existing materials and third-party assets.
7. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the project. This obligation survives the termination of this Agreement.
8. Limitation of Liability
LIQD's liability is limited to the amount paid by the Client for the specific project. We are not liable for indirect, consequential, or incidental damages.
9. Termination
Either party may terminate the Agreement with written notice. In case of termination, the Client pays for work completed up to the termination date.
